These Terms and Conditions ("Agreement") govern your access to and use of Orbitly, operated by Orbitly Inc. ("Orbitly", "we", "us", or "our"), accessible at orbitlyapp.com. By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the Service. We reserve the right to update this Agreement at any time. Continued use of the Service after changes take effect constitutes your acceptance of the updated terms.
Description of ServiceOrbitly is a bandwidth monetization platform that allows users to earn money by sharing unused internet bandwidth from their devices. Orbitly routes legitimate commercial traffic — including market research, ad verification, and quality assurance activities — through participating user devices.The Service consists of: (a) the Orbitly mobile application; (b) the web dashboard at orbitlyapp.com; (c) the Orbitly SDK available to third-party application developers; and (d) any related APIs, tools, or documentation we provide.
EligibilityTo use the Service you must be at least 18 years old, have the legal capacity to enter into a binding contract, and reside in a country where the Service is available. By using the Service you represent that you meet all eligibility requirements.You may not use the Service if you are prohibited from doing so under applicable law, including any sanctions regulations or export control laws of the United States or the jurisdiction in which you reside.
Account Registration and SecurityTo access the Service you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.You must notify us immediately at support@orbitlyapp.com if you become aware of any unauthorised use of your account or any other security breach. Orbitly is not liable for any loss or damage arising from your failure to comply with these security obligations.
How the Service WorksWhen the Orbitly application is active and you are connected to the internet, Orbitly routes encrypted, business-grade traffic through your device. This traffic is used exclusively for legitimate commercial purposes such as market research, ad verification, price monitoring, and performance testing. Orbitly does not route any content that is illegal, harmful, or in violation of third-party rights.You can pause or stop sharing bandwidth at any time through the application settings. Orbitly measures bandwidth contribution in gigabytes (GB) and calculates your earnings based on the applicable rate for your connection type (mobile data or Wi-Fi) and geography, as published in the app dashboard.
Earnings and PayoutsOrbitly pays you for bandwidth shared through the Service at the rates displayed in your account dashboard. Rates vary by connection type and geography and are subject to change with 30 days' notice. Payout rates are expressed in US dollars.Payouts are processed on a monthly basis. The minimum payout threshold is $10.00. Payments are made via PayPal or bank transfer (subject to availability in your region). Orbitly is not responsible for fees charged by payment processors or financial institutions. You are solely responsible for any applicable taxes on your earnings.Orbitly reserves the right to withhold or reverse payouts in cases of fraud, abuse, violation of this Agreement, simulated traffic, or use of emulators or virtual machines. Any valid earned balance will be paid in full upon account termination.
Acceptable Use and Prohibited ActivitiesYou agree to use the Service only on devices you own or have explicit permission to use, and only through official Orbitly applications or SDK integrations. You must not attempt to manipulate, simulate, or artificially inflate traffic metrics, bandwidth readings, or earnings.Prohibited activities include: (a) using emulators, virtual machines, or automated scripts to simulate device participation; (b) reverse engineering, decompiling, or disassembling any part of the Service; (c) reselling, sublicensing, or redistributing access to the Service; (d) using the Service for any unlawful purpose; (e) interfering with the security, integrity, or performance of the Service or any related systems.Orbitly reserves the right to suspend or terminate your account immediately if we reasonably determine that you have engaged in any prohibited activity.
Software Licence (EULA)Subject to your compliance with this Agreement, Orbitly grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Orbitly application on your personal device solely for the purpose of participating in the Service. This licence does not include the right to sublicense, modify, adapt, translate, or create derivative works of the application.All rights, title, and interest in the Service — including but not limited to the software, algorithms, trade secrets, brand assets, and documentation — are and remain the exclusive property of Orbitly and its licensors. Nothing in this Agreement transfers any ownership rights to you. This section constitutes the End User Licence Agreement (EULA) for the Orbitly software.
DisclaimersTHE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ORBITLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.ORBITLY DOES NOT GUARANTEE ANY MINIMUM LEVEL OF EARNINGS (EXCEPT AS EXPRESSLY STATED IN A SIGNED FOUNDING PARTNER AGREEMENT). ACTUAL EARNINGS DEPEND ON DEVICE AVAILABILITY, GEOGRAPHIC DEMAND, CONNECTION TYPE, AND MARKET CONDITIONS.
Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBITLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID OR CREDITED TO YOU BY ORBITLY IN THE SIX MONTHS PRIOR TO THE CLAIM, OR (B) $50.00.IN NO EVENT SHALL ORBITLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TerminationYou may delete your account and stop using the Service at any time through the account settings in the app or by contacting support@orbitlyapp.com. Upon termination, any earned balance meeting the minimum payout threshold will be disbursed in the next regular payout cycle.Orbitly may suspend or terminate your account at any time with or without notice if you breach this Agreement, if we are required to do so by law, or if we discontinue the Service. Sections on Software Licence, Disclaimers, Limitation of Liability, Governing Law, and any accrued payment obligations survive termination.
Governing Law and Dispute ResolutionThis Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. You waive any right to participate in a class-action lawsuit or class-wide arbitration.Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
AmendmentsOrbitly may modify this Agreement at any time. We will notify you of material changes by posting the updated terms on this page and, where appropriate, by sending a notification through the app or to the email address associated with your account.Your continued use of the Service after any change constitutes your acceptance of the revised Agreement. If you do not agree to the changes, you must stop using the Service and delete your account.
